J. H. "Red" Hayes/Jack Rhodes are credited with the song. The inspiration for the lyric can summed up by this line from Haye's "One day my father-in-law asked me who I thought the richest man in the world was, and I mentioned some names. He said, "You're wrong, it is the man with a satisfied mind".

Many people have covered this song including Bob Dylan, Ben Harper and famously, The Byrds on their album Turn! Turn! Turn!. Johnny Cash recorded this version for his album, American IV: Aint No Grave. Prior to that he did a version that was used for the Kill Bill 2 Soundtrack.
